On November 27, 2023, the Sonoma Clean Power Authority (“SCPA”) entered into a purchase and sale agreement with 421 E. Street LLC to purchase a commercial building located at 431 E Street in Santa Rosa, which is SCPA’s District office (“Agreement”).
The purchase of the existing commercial building does not have a significant impact on the environment because the building is already existing and no construction is contemplated by the purchase of this building.

Reasons for Exemption
The execution of the Agreement is statutorily exempt from substantive CEQA review under State CEQA Guidelines section 15060(c)(3). SCPA staff has determined that the acquisition of the Property is not a project pursuant to CEQA because: (1) the Agreement does not authorize any actions that may directly or indirectly impact the environment; (2) the Agreement does not approve or commit the SCPA to approving any future development; and (3) the SCPA has and will make any proposed future development subject to appropriate review under CEQA. The approval of the Agreement is therefore exempt from further review under CEQA because it is not approval of a project as defined by CEQA Guidelines section 15378. Nothing in the approval of the Agreement shall be construed to commit the SCPA to a particular course of action.
