Document Description
Latitude 38 Entertainment, LLC wishes to enter into an agreement to follow for an annual 3-day music festival, for at least 10 years. The 25th District Agricultural Association, aka Napa Valley Exposition ("Napa Valley Expo") has indicated that a 10-year (long term) entertainment agreement is a discretionary action that requires approval by its Board of Directors. The latitude 38 Entertainment produce a 3-day music event held at the Napa Valley Expo located at 575 3rd Street in Napa, California, hereinafter referred to as the "venue". Music occurs on all 3 days at the venue and food is provided through food booths and food trucks. The first music festival occurred in May 2013 and has since occurred on May 30, 31, and June 1, 2014, and May 29, 30 and 31, 2015. The first phase of the festival (i.e, venue set up) begins 24 days prior to the arrival of festival attendees and the final phase (i.e., festival breakdown) concludes within 8 days of the festival, for a total of 35 days. During the 3-day operational-phase (i.e., musical performance) the venue gates open at 11:30am., music begins at 12:00p.m. and the festival concludes at 10:00p.m. There is no parking at the venue. Parking is available for purchase approximately 15 minutes (walking) from the venue. Parking lots open at 10:30a.m. and close at 1:00a.m. It will take approximately 1 hour for attendees to leave the venue and the associated parking lots; thus, the timeframe of the event on each day will be from 10:30a.m. to 11:00p.m. The attendance is anticipated to include up to 40,000 paid guests per day, which includes children under the age of eight that are free with the purchase of an adult ticket. In addition, the festival has the ability to provide up 5,000 staff members, for a total of 45,000 people. Attendance #'s for each event are per the approval of the California State Fire Marshal. Festival attendees are anticipated to arrive from various locations throughout the state and elsewhere. It is anticipated that festival attendees will primarily utilize a variety of accommodations throughout Napa, Sonoma, and Solano counties.

Reasons for Exemption
The proposed project would qualify for a Class 4 Categorical Exemption because it is a temporary event that would not involve the removal of any trees and would not have any permanent effects on the environment. The music festival would occur for 3-days and 35 days from venue set up to festival breakdown and would be required to return the venue to its pre-event condition. The festival would not physically impact any environmental resources and would be required to comply with the venue's sound policy. The project would be subject to the requirements of the City of Napa's Special Event Permit, which has special requirements for temporary use of public rights-of-way such as traffic plans for off-site parking and traffic control. Since the agreement would allow for the temporary use of the venue with no permanent effects on the environment it meets the conditions for a Class 4 exemption.
